All services are customized based on client requirements and documented through proposals, agreements, or statements of work (SOW).

Engagement & Scope of Work

Each engagement is carefully defined to ensure clarity and mutual understanding between Manopy and the client.

  • Each project will have a defined scope, timeline, and deliverables
  • Any work outside the agreed scope may incur additional charges
  • Changes requested after approval may impact cost and timelines

Client Responsibilities

To ensure successful campaign execution, clients agree to:

  • Provide accurate and complete information
  • Share approvals, feedback, and materials on time
  • Ensure they have rights to all content and assets provided to us
  • Cooperate throughout the campaign execution

Delays caused by the client may affect delivery timelines and campaign outcomes. Manopy shall not be held responsible for missed deadlines resulting from client-side delays.

Payments & Fees

  • All fees will be outlined in proposals or invoices prior to commencement
  • Payments must be made as per agreed milestones or timelines
  • Late payments may result in project delays or suspension of services

Unless otherwise stated, payments are non-refundable once work has commenced. Please review your proposal carefully before approving any work.

Marketing Outcomes Disclaimer

While Manopy strives to deliver effective and impactful marketing campaigns, we operate in a dynamic environment with many external variables.

  • We do not guarantee specific results including sales, footfall, or brand reach
  • Outcomes may vary based on market conditions, audience behavior, and competition
  • Our commitment is to deliver quality execution aligned with the agreed strategy

Third-Party Costs & Vendors

Certain campaigns require coordination with external vendors and partners.

  • Campaigns may involve third-party vendors (printers, venues, logistics, etc.)
  • These costs may be billed separately or included in the project proposal
  • Manopy is not responsible for failures or delays caused by third-party providers
Section 08

Intellectual Property

  • Final deliverables may be used by the client after receipt of full payment
  • Manopy retains the right to showcase completed work in its portfolio and marketing materials, unless otherwise agreed in writing
  • All proprietary tools, frameworks, and methodologies remain the property of Manopy unless explicitly agreed otherwise

Cancellation & Termination

  • Either party may terminate the engagement with written notice
  • Clients must pay for all work completed up to the point of termination
  • Advance payments or retainers may not be refunded upon cancellation

Limitation of Liability

Manopy's liability in connection with any service or project is strictly limited.

  • Manopy shall not be liable for any indirect, incidental, or consequential damages
  • Manopy shall not be liable for any loss of profits or business opportunities
  • Total liability shall not exceed the total amount paid by the client for the specific engagement

Indemnification

Clients agree to indemnify, defend, and hold harmless Manopy from any claims, damages, or expenses arising from:

  • Content, materials, or assets provided by the client
  • Campaigns or strategies approved and directed by the client
  • Any misrepresentation or breach of these Terms by the client
Section 12

Confidentiality

Both parties agree to maintain strict confidentiality regarding all shared information.

  • Business information, financial data, and internal processes
  • Campaign strategies, creative concepts, and proprietary data
  • Any information expressly designated as confidential by either party

This obligation survives the termination of any engagement.

Section 13

Governing Law

These Terms shall be governed by and construed in accordance with the laws of India.

Jurisdiction

Any disputes arising from these Terms or related engagements shall be subject to the exclusive jurisdiction of courts in Bangalore, Karnataka, India.

Section 14

Changes to Terms

Manopy reserves the right to update or modify these Terms at any time without prior notice.

Continued use of our services following the posting of any changes constitutes acceptance of those changes. We encourage clients to review these Terms periodically.

Additional Clauses

Media Usage

We may capture photographs and video footage during campaign executions. These may be used for our portfolio, case studies, and marketing materials. If you wish to opt out of media usage, please inform us in writing prior to the campaign.

Exclusivity

Requests for exclusivity — meaning Manopy refrains from working with competing brands during your campaign — may incur additional charges and must be agreed upon in writing as part of the project scope.

Rush Fees

Projects with accelerated timelines or urgent requirements may be subject to additional rush fees. These will be communicated transparently at the time of scoping.

On-Ground Risks

Manopy shall not be held liable for disruptions, delays, or cancellations caused by circumstances beyond our control, including but not limited to adverse weather conditions, permit denials, local authority restrictions, or acts of nature.
